Introduction
Welcome to ID360 Academy. ID360 Academy is committed to providing innovative and relevant training to empower our community to play an active role in applying climate mitigating strategies within the design and construction industry.

We provide training and courses to develop expertise in environmental building strategies, policy, and to help the design community demonstrate leadership in the community. Our on-demand courses meet the needs of today’s market challenges with a flexible training mode.

ID360 Academy, referred as  (the “Company”, “we,” “us,” or “our“), which operates the website located at https://www.id360.academy (the “Website“) and related application programming interfaces (“APIs”) and online services, including, but not limited to any Downloadable Content. and any other products and services that Company may provide now or in the future (collectively, the “Courses“). The following Terms are a legal contract between the User (“you” and “your“) and ID360 Academy regarding your use of the Courses. Visitors and users of the courses are referred to individually as “User” and collectively as “Users“.

PLEASE READ THE FOLLOWING TERMS CAREFULLY. BY REGISTERING FOR, ACCESSING, BROWSING, OR USING OUR WEBSITE, YOU ACKNOWLEDGE THAT YOU HAVE READ, UNDERSTOOD, AND AGREE TO BE BOUND BY THE FOLLOWING TERMS, INCLUDING ID360 and ID360 Academy Privacy Policy AND ANY ADDITIONAL GUIDELINES (AS DEFINED BELOW) (COLLECTIVELY, THE “TERMS“).

1. User Account and Obligations
To access and purchase our courses, Users will need an ID360 Academy login and password.  Users may also provide personal information, including, but not limited to, Users name. Users are responsible for ensuring the accuracy of this information. This identifying information will enable Users to participate and purchase courses or participate in our Enterprise Learning Program. Users may not transfer, share or authorize others to use the account. Users are responsible for all activities, charges and liabilities associated with the account. Users are responsible for maintaining the safety and security of the identifying information as well as keeping us apprised of any changes to Users identifying information.

The billing information Users provided to us, including credit card, billing address and other payment information, is subject to the same confidentiality and accuracy requirements as the rest of the Users identifying information. Providing false or inaccurate information, or using the Course or the Website to further fraud or unlawful activity is ground for immediate termination of the Users account.

If we receive a request to access an account, we will not grant such request unless the User can provide information proving ownership of the account. Users are responsible for what happens with the account and ID360 Academy will not intervene in any disputes between Users who have shared account login credentials. You agree to immediately notify ID360 Academy if you suspect any breach of security by contacting us at support@id360academy.com or contact us at 650.830.0042. ID360 Academy may request some information from the Users to confirm ownership of the account.

2. User Content Licensing
During the applicable term of the Users purchase to course access if specified in an order, ID360 Academy will grant the Users a limited, non-exclusive, non-transferrable license to access the course content including the downloadable readings and materials for which the Users have paid all required fees. ID360 Academy grants the Users a 12 month license of access for any purchase of single course, bundle courses, webinar and exam prep solely for personal, non-commercial, educational purposes, in accordance with these Terms. User may not resell, reproduce, redistribute, reassign, reshare, or create any derivative works of sublicense, or use any content for commercial purposes unless ID360 Academy give Users a permission with a written agreement signed by an authorized ID360 Academy representative. For a User participating with course credits from the Enterprise Learning Program, the user will be subject to the terms under Enterprise Educational Services Agreement.

If the course or other purchased content is the object of a copyright complaint, or any other legitimate business reason, ID360 Academy reserves the right to terminate or revoke any license to access and use of any content at any point in the event the company decide due to a legal or policy reason.

ID360 Academy is not responsible for User’s inability to access any purchased Course due to User’s failure to have adequate Internet or bandwidth capabilities, or for any failure of the Internet or other communications or connectivity networks, or any disruptions or inaccessibility caused by third party sites, software or hardware.

3. Confidentiality
Users acknowledge and agree that the intellectual property associated with the ID360 Academy Courses and Course Materials, and any other nonpublic information of a technical or commercial nature concerning ID360 Academy, agrees to hold such information in strict confidence, and not disclose or otherwise share the Training Courses or Course Materials or any other confidential information with any third party except as expressly provided in these Terms.

4. Payment and Fees
Users agree to pay the fees for the courses that are being ordered through its account. Users authorize ID360 Academy to charge the provided debit or credit card or process other means of payment for those fees. The fees specified under these Terms do not include taxes, public fees, duties, deductions or withholdings (collectively, “Taxes”). ID360 Academy offers convenient payment methods and may update payment methods using information provided by our payment service providers. For a User participating with course credits from the Enterprise Learning Program, the user will be subject to the payment and fee terms under Enterprise Educational Services Agreement and are not individually responsible for payment fulfillment.

5. Refund and Transfer
All sales are final, Users agree that all fees paid and purchases within the website is final and cannot be refunded. Users agree that final purchases cannot be transferred for partially used credit to another User account. If access to the account is canceled or terminated due of violation to any of these terms, the User is not entitled to any proration or refund of any unused account or course registration. For a User participating with course credits from the Enterprise Learning Program, the user will be subject to the refund and transfer terms under Enterprise Educational Services Agreement.

6. Termination / Cancellation
ID360 Academy may terminate the access of the Users at any time for any business reason. ID360 Academy reserves the right to terminate access if Users violate any of the terms outlined herein, including, but not limited to, (i) violating the intellectual property rights of us or a third party, (ii) failing to comply with applicable laws or other legal obligations, (iii) and/or publishing or distributing illegal material. Users may also terminate their own access at any time by contacting us and requesting termination. At the termination of the account, any provisions that would be expected to survive termination by their nature shall remain in full force and effect.

Please be advised that terminating the account access does not entitle Users to a refund on any monies spent within ID360 Academy website.

7. Enterprise Learning Program Users
Enterprise Users will receive an email invitation from the Enterprise Account Manager within the Enterprise Training Platform (“the Platform”). Each Enterprise User must create an account using the ID360 Academy Platform. After the Enterprise user is assigned to a course, the Enterprise User will have access to the on-demand course content. Whether or not the Course has been completed by the Enterprise User, it will expire 12 months after the date initial purchase.  At the completion of the Course, the Enterprise User will receive a certificate evidencing their participation in, and completion of, the Course. Each course is available for continuing educational credit through the American Institute of Architects, the Green Building Certification Institute, and the International Code Council. Courses eligible for the Health Safety and Wellness (HSW) educational credit will be reported directly to the American Institute of Architects. The Course and any of its accompanying Materials may not be shared with any party. If we suspect that the Course or Materials are being shared and/or that any Enterprise User has shared log-in information with any party, we reserve the right to immediately terminate the Enterprise user’s access to the Course, in our sole and exclusive discretion.

Enterprise Users are not individually responsible for payment fulfillment. ID360 Academy will invoice Account Manager (“Client”) after the Enterprise Educational Services contract is signed. Invoices are due and payable upon receipt. Account manager (Client) may transfer up to 10% of the purchased seats (rounded up to the nearest seat) to another Staff Enterprise Users account with the same email address. Transferred courses must be completed within the course period. For a course seat to be considered transferable, the initially assigned learner must have completed less than half of the course content. 8. Indemnification
Users agree to defend and indemnify the ID360 Academy, affiliates, contractors,  employees, and third-party suppliers, partners and licensors, and hold them harmless against any and all legal claims and demands, including reasonable attorney's fees, which may arise from or relate to (i) Users participation in the Course, (ii) Users use or misuse of the Website, (iii) Users breach of these terms, (iv) Users conduct or actions and failure to comply with Applicable Laws, (v) Infringement by Users or any third-party using the account of any intellectual property, privacy, or other right of any person or entity, including in connection with Users Content. ID360 Academy reserves the right, at Users expense, to assume the exclusive defense and control of any matter for which Users are required to indemnify ID360 Academy, and Users agree to cooperate with ID360 Academy defense of these claims. Users agree not to settle any such matter without the prior written consent of ID360 Academy.
